Please read these Terms of Service (together with our Privacy Policy, the "Terms") fully and carefully before using filmofficetoolkit.com (the "Site") and the courses, content, downloads or other services we offer through it (together with the Site, the "Services"). The Services are provided by Erroneous Wit Limited ("we", "our" or "us") and hosted by our platform provider, Podia Labs, Inc. ("Podia").
1. Acceptance of Terms
By registering for, purchasing, or using the Services in any manner, including browsing the Site, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 16 years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement. If you are registering on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
3. Registration and Accounts
To access purchased content, you must register for an account ("Account"). You must provide accurate and complete information and keep it up to date. You are responsible for all activity on your Account and for keeping your login credentials secure. You must notify us immediately if you become aware of any unauthorised use of your Account.
4. Services and Content
A. What we provide. The Services consist of online courses, written guidance, downloadable templates, benchmarking data, and related content (collectively, "Content"). Content is provided for informational and operational guidance purposes only. It does not constitute legal, financial, or professional advice. You should review any templates, policies, or approaches internally before adopting them.
B. Access period. Each purchase provides access to the relevant Content for the period specified at the time of purchase (currently 12 months from the date of purchase). After the access period expires, you will no longer be able to access the Content unless you renew.
C. Single-user licence. Each purchase provides access for one individual user. You may not share your login credentials or provide access to others. If you require access for multiple users within your organisation, please contact us to discuss multi-user arrangements.
D. Intellectual property. All Content is owned by us or our licensors and is protected by copyright and other intellectual property laws. You may use the Content for your own internal organisational purposes. You may not reproduce, redistribute, resell, or make the Content available to third parties outside your organisation without our prior written permission.
E. Downloadable materials. Where we provide downloadable templates, workbooks, or spreadsheets, you may adapt these for use within your organisation. You may not redistribute them to other organisations, publish them online, or resell them.
F. Availability. We aim to keep the Services available at all times but do not guarantee uninterrupted access. We may update, modify, or remove Content at any time.
5. Payments
A. Pricing. Prices for the Services are as displayed on the Site at the time of purchase. All prices are in pounds sterling unless otherwise stated.
B. Payment processing. Payments are processed by Stripe, a third-party payment processor. By making a purchase, you agree to Stripe's terms of service and privacy policy (available at stripe.com). We do not store your payment card details.
C. Refunds. If you are not satisfied with your purchase, please contact us within 14 days of purchase. We will consider refund requests on a case-by-case basis. After 14 days, no refunds will be provided. This does not affect your statutory rights as a consumer under UK law.
D. VAT. Prices may be subject to VAT where applicable. VAT will be shown at checkout where required.
6. Rules of Conduct
You agree not to:
Share your Account credentials with others or allow others to access your Account
Copy, redistribute, or resell any Content
Use the Services for any unlawful purpose
Attempt to gain unauthorised access to the Services or related systems
Upload any harmful code or material to the Services
Use the Services in any way that could damage, disable, or impair them
7. User Content
If the Services allow you to submit or upload content (for example, comments or forum posts), you are responsible for ensuring that such content is accurate, lawful, and does not infringe the rights of any third party. We reserve the right to remove any user-submitted content at our discretion.
8. Third-Party Services
The Services are hosted by Podia and payments are processed by Stripe. Your use of the Services involves interaction with these third-party services, which are governed by their own terms and privacy policies. We are not responsible for the practices or content of third-party services. Any links to external websites are provided for convenience and do not imply endorsement.
9. Disclaimer
The Content is provided "as is" and "as available." While we have taken care to ensure that the Content is accurate and useful, we make no warranties or representations, express or implied, about:
The accuracy, completeness, or reliability of the Content
The suitability of the Content for any particular purpose
The uninterrupted or error-free availability of the Services
The Content is operational guidance, not legal advice. You are responsible for ensuring that any policies, fees, or processes you adopt are appropriate for your organisation and comply with applicable laws.
10. Limitation of Liability
To the fullest extent permitted by law:
A. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or revenue, arising from your use of the Services.
B. Our total liability to you for any claim arising from or relating to the Services shall not exceed the amount you paid to us for the Services in the 12 months preceding the claim.
C. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
11. Indemnification
You agree to indemnify and hold harmless Erroneous Wit Limited, its directors, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Services.
12. Personal Data
Your personal data will be processed in accordance with our Privacy Policy. Where the Services are hosted by Podia, Podia's privacy practices also apply (see podia.com/privacy).
13. Termination
We may suspend or terminate your access to the Services if you breach these Terms. You may close your Account at any time by contacting us. Termination does not entitle you to a refund for any remaining access period.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Site. Your continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
16. General
A. These Terms (together with the Privacy Policy) constitute the entire agreement between you and us regarding the Services.
B. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
C. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
D. We may assign our rights and obligations under these Terms without your consent. You may not assign yours without our prior written permission.
E. No agency, partnership, or employment relationship is created by these Terms.
